1. Introduction and acceptance

These Terms & Conditions ("Terms") govern your access to and use of Anvedra Algo Trading (the "Platform"), a software platform owned and operated by Anvedra 360 Business Solutions Private Limited, a company incorporated in India with its office at 303, Lotus Enora, New Alkapuri, Gotri, Vadodara, Gujarat ("Company", "we", "us" or "our").

By ticking the acceptance box on the login page and logging in, you confirm that you have read, understood and agree to be bound by these Terms, including the Risk Disclosure in Section 9. If you do not agree, do not log in or use the Platform.

Your acceptance is recorded each time you log in, together with the date, time, the version of these Terms and the network address from which you logged in.

2. Definitions

  • "User" or "you" means the individual for whom the Company has created an account on the Platform.
  • "Broker" means the SEBI-registered stock broker with whom you hold your own trading account, such as Zerodha or Groww.
  • "Broker API" means the application programming interface provided by your Broker, and the API key, secret and daily access token issued to you under it.
  • "Signal" means an instruction generated by the Platform's central signal engine to enter or exit a position in a specified contract.
  • "Execution" means the placing, modification or cancellation of orders in your Broker account by the Platform in response to a Signal or to manage an open position.
  • "Live mode" means Executions sent to your Broker as real orders; "Paper mode" means simulated Executions with no real orders.
  • "Derivatives" means futures and options contracts traded on a recognised stock exchange in India.

3. Nature of the service

The Platform is a technology tool that automates the execution of a predefined, rules-based trading process. Specifically, it:

  1. generates Signals centrally from its proprietary, rules-based trading strategies;
  2. places the corresponding orders in your own Broker account through your Broker API;
  3. places and manages stop-loss orders, including trailing the stop-loss as price moves; and
  4. records a log of every Signal, order, modification and exit.

The Company is not a stock broker, a portfolio manager, an investment adviser or a research analyst, and the Platform does not provide investment advice, recommendations or portfolio management. The Company does not hold, receive, pool or manage your funds or securities at any time. All funds and positions remain in your own Broker account.

4. Eligibility

You may use the Platform only if you:

  1. are at least 18 years of age and competent to contract under the Indian Contract Act, 1872;
  2. hold a valid trading account with a Broker supported by the Platform, activated for the Derivatives segment;
  3. have understood the risks of trading in Derivatives, including the Risk Disclosure in Section 9; and
  4. are not prohibited by any law, regulator, exchange or your Broker from trading in Derivatives or from using automated order execution.

5. User accounts and access

There is no public registration. User accounts are created only by the Company's administrator, at the Company's discretion. The Company may decline, limit or withdraw access without giving reasons.

  • Your user ID and password are personal to you. Do not share them with anyone.
  • Only one active login session is allowed per account. Logging in from a new device or browser signs out any earlier session.
  • You are responsible for all activity carried out through your account, whether or not authorised by you, until you inform us of any unauthorised use.
  • Inform us immediately at algo.anvedra360@gmail.com if you suspect that your login details have been compromised.

6. Your broker account and API

To use Live mode you must connect your own Broker API to the Platform. You acknowledge that:

  1. your relationship with your Broker is governed solely by your agreement with the Broker, including its charges, margin requirements, risk management and API terms;
  2. you must generate a fresh access token each trading day where your Broker requires it; without a valid token, the Platform cannot place or manage orders in your account;
  3. you are responsible for completing any requirement of your Broker or the exchanges for API or automated trading, including registration of a static IP address where applicable;
  4. you may revoke the Platform's API access at any time from your Broker; doing so while a position is open will stop the Platform from managing that position, including its stop-loss; and
  5. the Broker API does not permit the Platform to withdraw or transfer funds or securities from your account, and the Platform does not attempt to do so.

7. Authority to place orders

By enabling Live mode and starting the trading engine for your account, you expressly authorise the Platform to place, modify and cancel orders in your Broker account in accordance with the Signals and the settings applicable to your account, including entry orders, stop-loss orders, trailing modifications and exit orders, until you stop the engine or revoke the API access.

The Company's administrator may also stop your trading engine at any time, for example for risk, technical or compliance reasons. Stopping the engine does not by itself close an open position; see Section 13.

8. How signals and orders work

  1. Central signals. Signals are generated once, centrally, and delivered to every user whose settings permit that strategy. The Company's own signal engine holds simulated positions only.
  2. Same contract. An entry is placed in the exact contract named in the Signal, in the quantity set for your account.
  3. Freshness checks. A Signal is not acted upon if it is more than 60 seconds old when it can be placed, or if the price has moved more than 5% from the Signal's reference price. These safeguards mean that you may not receive every Signal.
  4. Exactly once. Each Signal is acted upon at most once for your account.
  5. Stop-loss and trailing. After an entry is filled, a stop-loss order is placed with your Broker according to your settings, and it is raised in steps as price moves in your favour. The trailing process checks prices frequently, but not continuously.
  6. Exits. A position is closed when its stop-loss order is triggered at the Broker, or when an exit Signal is issued, or as otherwise set for your account.
  7. Different results. Your fills, stop-loss levels and results may differ from those of other users and from the signal engine's simulated positions, because of timing, liquidity, order type, quantity, margin and Broker behaviour.

9. Risk disclosure

Read this section carefully. Trading in Derivatives is highly risky and is not suitable for everyone. You can lose some or all of the money you trade with.
  1. Losses are common. Studies published by the Securities and Exchange Board of India (SEBI) have found that around 9 out of 10 individual traders in the equity Futures & Options segment incurred net losses.
  2. Leverage and volatility. Derivative prices can move sharply and quickly. Option premiums can fall to zero, particularly close to expiry.
  3. Automation does not remove risk. The Platform executes predefined rules. It does not predict markets, and a rules-based process can produce a series of losing trades.
  4. Past performance. Any past result, back-test, simulation or illustration is not an indicator or guarantee of future results.
  5. Gaps and slippage. Prices can gap past a stop-loss level. Orders may be filled at worse prices than expected, partly filled, or not filled.
  6. Liquidity. Some contracts may have wide bid-ask spreads or low volumes, increasing costs and slippage.
  7. Costs. Brokerage, exchange charges, taxes and other costs reduce your results and are payable even on losing trades.
  8. Your capacity. Trade only with money you can afford to lose, and consider seeking independent advice from a SEBI-registered investment adviser.

10. No advice, no guaranteed returns

Nothing on the Platform, on this website or in any communication from the Company is investment advice, a recommendation to buy or sell any security, or an offer of any assured, guaranteed or indicative return. The Company does not promise or guarantee any profit, and no statement about the Platform should be read as such. All trading decisions to use the Platform, and the settings chosen for your account, are yours and at your sole risk.

11. Order execution limitations

  • The stop-loss may be placed as a stop-limit order. In a fast or gapping market a stop-limit order may not be executed at or near its trigger price, or at all.
  • Your Broker may reject an order — for example for insufficient margin, price-band limits, freeze quantities or risk-management rules. A rejected entry is not retried.
  • Orders may be delayed by the exchange, the Broker, data feeds or network conditions.
  • If the Platform cannot place or modify a stop-loss (for example because your access token has expired), your position may remain without an updated stop-loss.
  • After an interruption or restart, the Platform may not resume managing a position that was already open; you must check and manage such positions yourself.

12. Technology and third-party risks

The Platform depends on systems the Company does not control, including Broker APIs, exchange systems, market-data feeds, internet connectivity, cloud hosting and electricity. Any of these may fail, be slow, return incorrect data or be withdrawn. The Company does not guarantee that the Platform will be available at all times, free of errors, or that any Signal or order will be generated, delivered or executed on time or at all.

Software may contain defects. The Company will take reasonable steps to test changes and correct known problems, but cannot guarantee that every defect will be found before it affects trading.

13. Your responsibilities

  1. Monitor your Broker account and open positions throughout each trading day, and square off positions yourself where required.
  2. Maintain sufficient funds and margin in your Broker account.
  3. Generate your Broker access token each trading day and keep your Broker API details up to date.
  4. Check the Platform's log and your Broker's order book, and report any discrepancy to us immediately.
  5. Understand that stopping the trading engine does not close open positions or cancel orders already placed.
  6. Keep your login details, Broker credentials and devices secure.
  7. Comply with all applicable laws, SEBI and exchange rules, and your Broker's terms.

14. Paper (simulated) mode

In Paper mode the Platform uses real market prices but sends no orders to your Broker. Paper-mode results are hypothetical: they do not reflect real fills, slippage, rejections, liquidity or costs, and are not an indicator of results in Live mode.

15. Fees, taxes and refunds

Fees for access to the Platform are as communicated to you by the Company in writing. All fees are inclusive of Goods and Services Tax (GST).

All fees are non-refundable. Once paid, fees will not be refunded, in whole or in part, for any reason — including non-use of the Platform, suspension or termination of your access, periods when the Platform or your broker's services are unavailable, changes in market conditions, or trading losses.

Fees are paid for access to the software only. They are not linked to, or dependent on, any trading profit or result.

Fees for the Platform are separate from, and in addition to, all brokerage, exchange charges, taxes and other costs charged on your trades by your broker, the exchanges or the Government.

16. Data, privacy and security

What we collect

  • Account details: name, user ID, contact details and account settings.
  • Broker API details: API key, API secret and daily access tokens, stored encrypted.
  • Activity records: logins (with date, time and network address), acceptance of these Terms, Signals received, orders, stop-loss changes, exits and system logs.

How we use it

To operate the Platform, place and manage orders on your instructions, maintain records, investigate errors and disputes, meet legal and regulatory obligations, and secure the Platform. We do not sell your personal data.

Disclosure and retention

We share data with your Broker as needed to place orders, with service providers who host or support the Platform under confidentiality obligations, and with regulators, exchanges, courts or law-enforcement agencies where required by law. Records are retained for as long as needed for these purposes and as required by law. We process personal data in accordance with applicable Indian law, including the Digital Personal Data Protection Act, 2023, as and when in force.

Security

We use reasonable security measures, including encryption of credentials and one active session per account. No system is completely secure, and we cannot guarantee that unauthorised access will never occur.

17. Intellectual property

The Platform, its software, strategies, signal logic, designs, text and trademarks are the property of the Company or its licensors. You receive a limited, personal, non-transferable, revocable right to use the Platform for your own trading under these Terms. You may not copy, modify, reverse-engineer, resell, sublicense or create derivative works of any part of the Platform.

18. Prohibited use

  • Sharing your account, or using the Platform to trade for any other person or for any account not in your own name.
  • Attempting to access other users' data or accounts, or probing, scanning or testing the Platform's security.
  • Interfering with the Platform's operation, including by automated scripts or excessive requests.
  • Copying, publishing or redistributing Signals, logs or strategy information.
  • Using the Platform for any unlawful purpose or in breach of SEBI, exchange or Broker rules.

19. Suspension and termination

The Company may suspend or terminate your access, stop your trading engine or disable features at any time, with or without notice, including for breach of these Terms, non-payment, suspected unauthorised use, risk or technical reasons, or regulatory requirements. You may stop using the Platform at any time by stopping your engine and asking us to close your account. Termination does not close any open positions in your Broker account; you remain responsible for them.

20. Limitation of liability

To the maximum extent permitted by law:

  1. the Company shall not be liable for any trading loss, loss of profit or opportunity, or any indirect, incidental, special or consequential loss arising from the use of, or inability to use, the Platform;
  2. the Company shall not be liable for any act, omission, failure or delay of your Broker, the exchanges, data providers, network or hosting providers, or for events beyond its reasonable control, including market disruptions, power or internet failures and acts of government; and
  3. the Company's total aggregate liability to you for any claim relating to the Platform shall not exceed the fees paid by you to the Company for the Platform in the three months immediately before the event giving rise to the claim.

Nothing in these Terms limits any liability that cannot be limited under applicable law.

21. Indemnity

You agree to indemnify and hold harmless the Company, its directors, employees and agents from any claim, loss, liability, penalty or expense (including reasonable legal fees) arising from your breach of these Terms, your misuse of the Platform, your violation of any law or the rights of any third party, or any trading activity in your Broker account.

22. Changes to these terms

We may revise these Terms from time to time. The revised Terms apply once they are published on this page, and you will be asked to accept them when you next log in. If you do not accept the revised Terms, you must stop using the Platform.

23. Governing law and disputes

These Terms are governed by the laws of India. Subject to Section 24, the courts at Vadodara, Gujarat shall have exclusive jurisdiction over any dispute arising out of or in connection with these Terms or the Platform.

Disputes relating to trades executed in your Broker account are also subject to the dispute resolution mechanisms of your Broker and the exchanges, including the SEBI SCORES platform and the Online Dispute Resolution (ODR) portal, where applicable to your Broker.

24. Grievances and contact

25. General provisions

  • Entire agreement. These Terms, together with any written fee terms, are the entire agreement between you and the Company about the Platform.
  • Severability. If any provision is found invalid or unenforceable, the remaining provisions remain in full force.
  • No waiver. A failure or delay to enforce any right is not a waiver of that right.
  • Assignment. You may not transfer your rights under these Terms. The Company may assign its rights to an affiliate or successor.
  • Notices. We may send notices to the email address or phone number registered for your account, or display them on the Platform.
  • Language. These Terms are written in English. If translated, the English version prevails.
